An Annual General Meeting of the Irish Australian Chamber of Commerce Inc will be held at 5:45pm on Tuesday 20th October 2015 at Level One, 530 Little Collins Street, Melbourne.
As an Annual General Meeting of the association, only current members of the association may attend this event.
The ordinary business of the annual general meeting shall be—
To confirm the minutes of the previous annual general meeting and of any general meeting held since that meeting; and
To receive from the committee reports upon the transactions of the Association during the last preceding financial year; and
To elect officers of the Association and the ordinary members of the committee; and
To receive and consider the financial statement submitted by the Association to members in accordance with section 100(1) of the Associations Incorporation Reform Act 2012 (Vic).
It is proposed to transfer the incorporation of IRISH AUSTRALIAN CHAMBER OF COMMERCE (IACC) Incorporated from an incorporated association registered under the Associations Incorporations Reform Act 2012 (Vic) to a company limited by guarantee under the Corporations Act 2001 (Cth).
To consider and, if thought fit, pass the following as a special resolution, THAT:
a) in accordance with Part 8 the Associations Incorporation Reform Act 2012 (Vic) application be made to transfer the incorporation of Irish Australian Chamber of Commerce Incorporated to a company limited by guarantee under the Corporations Act 2001 (Cth), part 5B.1, and that the application be signed by the President and members of the board, of the Irish Australian Chamber of Commerce Incorporated
b) the name of the company be Irish Australian Chamber of Commerce Limited with the change to apply from when it is registered with the Australian Securities and Investments Commission as a company limited by guarantee under the Corporations Act 2001 (Cth); and.
c) the Constitution available via the event details on this website for the purposes of identification be the constitution of the company upon it being registered as a company limited by guarantee under the Corporations Act 2001 (Cth)
d) the membership of the Incorporated Association transfer to the new company limited by guarantee
